Terms and Conditions

1. Introduction and Acceptance

These Terms and Conditions (the “Terms”) govern access to and use of the event ticketing and management platform operated by Fanz Software Inc. (“Fanz”, “we” or “our”), including the fanz.com.ar website, its subdomains, the related applications, the APIs and any associated service (collectively, the “Platform”).

By accessing the Platform, creating an account or contracting any of our services, you acknowledge that you have read, understood and fully accepted these Terms, as well as our Privacy Policy and our Refund Policy. If you do not agree with any provision, please refrain from using the Platform.

2. Definitions

• Platform: the software-as-a-service (SaaS) provided by Fanz for the creation, management, promotion and sale of event tickets in a white-label format.
• Organizer: the individual or legal entity that contracts the Platform to manage the sale of tickets to its events.
• Buyer: the end user who purchases one or more tickets through a site operated on the Platform.
• Account: the registered profile of the Organizer or the Buyer on the Platform.
• Organizer Content: any information, image, text, logo or material that the Organizer uploads or publishes on the Platform.

3. Description of the Service

Fanz provides a white-label SaaS ticketing platform that allows Organizers to:

• Create and customize a ticket-sales site under their own brand and domain.
• Manage events, ticket categories, seating maps and access lists.
• Process payments securely, with direct settlement to the Organizer's bank account.
• Access automated marketing tools (cart recovery, email campaigns, promotions).
• Use artificial intelligence features for content creation and data analysis.
• Obtain real-time reports, analytics and sales metrics.

Fanz acts solely as a technology provider. It is not a co-organizer, promoter or party responsible for the execution of the events published on the Platform.

4. Registration and Account

To use the Platform as an Organizer, an Account must be created by providing truthful, complete and up-to-date information. The Organizer is responsible for keeping its access credentials confidential and for all activity carried out under its Account.

Fanz reserves the right to suspend or cancel Accounts that contain fraudulent information, breach these Terms or pose a risk to the Platform or its users.

5. Pricing and Billing Model

The Organizer pays Fanz a fee of 8.26% plus VAT per ticket sold through the Platform, the same rate at every volume. There is no setup fee and no minimum monthly subscription. Current prices are published in the Platform's pricing section and may be updated with at least thirty (30) days' prior notice.

Buyer payments are processed through third-party payment gateways. The funds corresponding to the ticket price are settled directly to the Organizer's account at their payment processor, with the Fanz fee deducted via a payment-split arrangement at the time of the transaction, along with the applicable payment-processing costs.

For Organizers with an estimated annual volume greater than 40,000 tickets or with special requirements (managed settlement, enterprise contracts, custom integrations), Fanz may offer specific terms agreed upon in writing.

Failure to pay the Fanz fees for more than fifteen (15) days may result in the temporary suspension of the services until the situation is regularized.

6. Organizer Obligations

The Organizer agrees to:

• Provide truthful and up-to-date information about its events (date, location, performers, prices, age restrictions and any other relevant condition).
• Comply with all laws, regulations and permits applicable to the staging of its events.
• Assume sole responsibility for the execution, cancellation, rescheduling or any incident related to its events.
• Respect the intellectual property rights of third parties in all Organizer Content published on the Platform.
• Not use the Platform for unlawful or fraudulent activities or activities that infringe the rights of third parties.

7. Buyer Obligations

The Buyer agrees to:

• Provide truthful and accurate purchase information, including full name and contact details.
• Not resell, duplicate or transfer tickets unless expressly authorized by the Organizer.
• Comply with the access conditions of the event (minimum age, venue rules, Organizer restrictions).
• Understand that Fanz does not organize the events and that any claim related to the event must be addressed to the Organizer.

8. Intellectual Property

The Platform, its source code, design, logos, trademarks, documentation and all associated material are the exclusive property of Fanz Software Inc. and are protected by applicable intellectual property laws. No intellectual property rights are transferred to the Organizer or the Buyer through the use of the Platform.

The Organizer grants Fanz a limited, non-exclusive and revocable license to use the Organizer Content for the sole purpose of providing the contracted services, including its display on the Platform and in previously authorized promotional materials.

9. Service Level and Availability

Fanz makes commercially reasonable efforts to keep the Platform operational with a target availability of 99.9%. However, scheduled maintenance interruptions (notified at least 24 hours in advance) or unscheduled interruptions caused by force majeure or third-party providers may occur.

Fanz does not guarantee that the Platform will be error-free or that its operation will be uninterrupted at all times. In the event of a critical incident, our team will work to restore the service as quickly as possible.

10. Personal Data Protection

The processing of personal data is governed by our Privacy Policy, which is an integral part of these Terms. With respect to Buyer data, the Organizer acts as data controller and Fanz acts as data processor, processing such data only in accordance with the Organizer's instructions and applicable regulations.

11. Refunds and Cancellations

The refund policy applicable to tickets purchased through the Platform is detailed in our Refund Policy. The decision to grant refunds for the cancellation or rescheduling of an event lies exclusively with the Organizer.

12. Limitation of Liability

Fanz provides the technological infrastructure and is not responsible for the organization, quality, safety or execution of the events published on the Platform. In no event shall Fanz, its directors, employees, affiliates or agents be liable for indirect, incidental, special, consequential or punitive damages, including, without limitation, lost profits, loss of data or business interruption, even if advised of the possibility of such damages.

Fanz's total cumulative liability to the Organizer for any claim arising from these Terms shall not exceed the amount of fees actually paid by the Organizer to Fanz during the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

The Organizer agrees to indemnify and hold Fanz, its directors, employees and agents harmless from any claim, demand, fine, penalty or expense (including reasonable legal fees) arising from or in connection with: (a) breach of these Terms; (b) the staging of its events; (c) the violation of laws or third-party rights; or (d) the Organizer Content published on the Platform.

14. Prohibited Uses

It is expressly prohibited to use the Platform to:

• Publish fictitious or fraudulent events or events with deliberately misleading information.
• Engage in unauthorized ticket resale activities (scalping).
• Distribute malware, viruses or malicious code.
• Attempt to access systems, accounts or data of other users without authorization.
• Collect personal data of other users without their consent.
• Violate intellectual property rights of Fanz or of third parties.
• Any activity that violates applicable law.

Failure to comply with these restrictions may result in the immediate suspension of the Account and termination of the service, without prejudice to any applicable legal action.

15. Force Majeure

Neither party shall be liable for the failure or delay in the performance of its obligations when caused by events beyond its reasonable control, including, among others: natural disasters, pandemics, epidemics, government actions, armed conflicts, terrorism, strikes, telecommunications infrastructure failures, power outages, cyberattacks or regulatory restrictions.

16. Term and Termination

These Terms remain in force as long as the user maintains an active Account or uses the Platform. The Organizer may cancel its subscription at any time from its admin panel. Fanz reserves the right to suspend or terminate access to the Platform in the event of a breach of these Terms, with five (5) business days' prior notice except in cases of urgency that justify immediate action.

The provisions relating to intellectual property, limitation of liability, indemnification and applicable law shall survive the termination of these Terms.

17. Modifications

Fanz reserves the right to modify these Terms at any time. Material changes will be notified to Organizers at least fifteen (15) days in advance via email or through a notice on the Platform. Continued use of the Platform after such period constitutes acceptance of the modified Terms.

18. Severability

If any clause of these Terms is declared invalid or unenforceable by a competent court, the remaining provisions shall remain in full force and effect. The affected clause shall be interpreted as closely as possible to its original intent within the limits of applicable law.

19. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without prejudice to mandatory consumer protection rules of the country of residence of the Buyer. For the resolution of disputes, the parties submit to the jurisdiction of the competent courts of the State of Delaware, unless the user's local legislation establishes a different mandatory venue.
